Resolutions passed at the 34th Annual General Meeting of Dhivehi Raajjeyge Gulhun Plc

The 34th Annual General Meeting of Dhivehi Raajjeyge Gulhun Plc (DHIRAAGU) was held on Monday, 20 March 2023 at 08:30pm at Crossroads Maldives. The meeting was held as a hybrid meeting where our shareholders were able to participate at the meeting venue and online through Fahivote (an online General Meetings Management System developed by Maldives Securities Depository Pvt. Ltd.). One hundred and twenty-five shareholders (91 shareholders and 34 shareholders represented by proxy) registered to attend the meeting. The following resolutions were passed by the required majority who were present and voting at the meeting. All resolutions were proposed as ordinary resolutions.
1. Approval of 33rd Annual General Meeting Minutes
2. Approval of the Annual Report 2022 including the Director’s Report and Audited Financial Statements for the year ended 31st December 2022.
3. Declaration of a full year dividend of MVR 7.33 per share for the year 2022, amounting to MVR 557,080,000 (Maldivian Rufiyaa five hundred and fifty-seven million, eighty thousand. The full year dividend is made up of
i. Interim Dividend of MVR 1.66 per share (total MVR 126,160,000) paid in 2022, and
ii. Final Dividend of MVR 5.67 per share (total MVR 430,920,000) declared at the 34th Annual General Meeting.
4. Re-appointment of KPMG as the Company’s External Auditors for the year 2023, to hold office until the conclusion of the next Annual General Meeting to carry out the statutory audit for the year ending 31st December 2023, and the approval of External Auditors fees.

5. Granting the Board of Directors, the authority to approve and declare any interim dividend in accordance with the Company’s Dividend Policy during the financial year 2023.

ދިވެހިރާއްޖޭގެ ގުޅުން ޕލކގެ 34 ވަނަ އަހަރީ އާންމު ޖަލްސާގައި ފާސްކުރެވުނު ކަންތައްތައް

ދިވެހިރާއްޖޭގެ ގުޅުން ޕލކ (ދިރާގު) ގެ 34 ވަނަ އަހަރީ އާންމު ޖަލްސާ ވަނީ 20 މާރިޗް 2023 ވީ ބުރާސްފަތި ދުވަހުގެ ރޭ 08:30 ގައި ކްރޮސްރޯޑްސް މޯލްޑިވްސްގައި ބާއްވާފައެވެ. މި ޖަލްސާއަކީ ހައިބްރިޑް ޖަލްސާއެއްކަމުން މި ޖަލްސާގައި ހިއްޞާދާރުންނަށް އޮންލައިންކޮށް (މޯލްޑިވްސް ސެކިއުރިޓީސް ޑިޕޮސިޓަރީގެ ފަހިވޯޓް މެދުވެރިކޮށް) ބައިވެރިވުމަށާއި އަދި ޖަލްސާކުރާ މާލަމަށް ވަޑައިގެން ބައިވެރިވުމުގެ ފުރުސަތު ފަހިކުރީމެވެ. މި ޖަލްސާގައި 125 ހިއްސާދާރުން (91 ހިއްސާދާރުން އަދި 34 ހިއްސާދާރުން ޕްރޮކްސީންގެ ގޮތުގައި) ބައިވެރިވުމަށް ރެޖިސްޓަރކުރިއެވެ. މި ޖަލްސާގައި ހިއްސާދާރުންގެ އަޢުލަބިއްޔަތުން ވަނީ ތިރީގައިވާ ކަންކަން ފާސްކޮށްފައެވެ. މި ޖަލްސާއަށް ހުށަހެޅި ހުރިހާ ޤަރާރަކީވެސް އާއްމު ޤަރާރެވެ.

1. ދިރާގުގެ 33 ވަނަ އަހަރީ ޖަލްސާގެ ޔައުމިއްޔާ ފާސްކުރުން

2. ދިރާގުގެ 2022 ވަނަ އަހަރުގެ ޑިރެކްޓަރުންގެ ރިޕޯޓާއި 31 ޑިސެމްބަރ 2022 ގެ ނިޔަލަށް އޮޑިޓްކުރެވިފައިވާ މަލީ ހިސާބުތައް ހިމެނޭ ކުންފުނީގެ 2022 ވަނަ އަހަރުގެ އަހަރީ ރިޕޯޓް ފާސްކުރުން.

3. 2022 ވަނަ އަހަރުގެ ޖުމްލަ ހިއްސާގެ ފައިދާގެ ގޮތުގައި ހިއްސާއަކަށް 7.33 ރުފިޔާ ކަނޑައަޅާ ( ޖުމްލަ 557,080,000 ދިވެހި ރުފިޔާ (ފައްސަތޭކަ ފަންސާސް ހަތް މިލިއަން، އައްޑިހަ ހާސް ދިވެހި ރުފިޔާ))، ފާސްކުރުން. 2022 ވަނަ އަހަރުގެ ފައިދާ ބެހިފައިވަނީ:

ހ. އިންޓަރިމް ޑިވިޑެންޑްގެ ގޮތުގައި 2022 ވަނަ އަހަރު ކަނޑައަޅާ ހިއްސާއަކަށް ބެހި 1.66 ރުފިޔާ (ޖުމްލަ 126،160،000 ދިވެހި ރުފިޔާ) އާއި،

ށ. 2022 ވަނަ އަހަރުގެ ފައިނަލް ޑިވިޑެންޑްގެ ގޮތުގައި 34 ވަނަ އަހަރީ އާންމު ޖަލްސާގައި ފާސްކުރަން ހުށަހެޅި ހިއްސާއަކަށް 5.67 ރުފިޔާ (ޖުމްލަ 430،920،000 ރުފިޔާ) ހިމެނޭ ގޮތަށެވެ.

4. 2023 ވަނަ އަހަރުގެ ކުންފުނީގެ އެކްސްޓަރނަލް އޮޑިޓަރުންގެ ގޮތުގައި ކޭޕީއެމްޖީ އައްޔަނުކޮށް، 31 ޑިސެމްބަރ 2023 ގެ ނިޔަލަށް ކުންފުންޏަށް ޤާނޫނީ ގޮތުން ލާޒިމްކުރާ އޮޑިޓްކުރުމަށް އައްޔަނުކޮށް އެކްސްޓަރނަލް އޮޑިޓަރުގެ އުޖޫރަ ކަނޑައެޅުން.

5. 2023 ވަނަ އަހަރުގެ އިންޓަރިމް ޑިވިޑަންޑް ކަނޑައަޅާ ފާސްކުރުމުގެ އިޚްތިޔާރު ހިއްސާދާރުން ކުންފުނީގެ ޑިރެކްޓަރުންގެ ބޯޑަށް ދިނުމަށް ފާސްކުރުން.
